By engaging our services, you confirm your acceptance of these Terms & Services and applicable laws of India.
2. Services Provided
Theme Seva provides professional services including:
All services are provided based on mutually agreed scope and communication.
3. Work First, Then Payment Policy
Work First, Then Payment
✓ Work may commence without upfront payment unless otherwise agreed.
✓ Upon project completion, the final deliverables will be demonstrated or deployed as agreed.
✓ An official invoice will be generated after delivery.
Clients are obligated to clear the full invoice amount within 45 (forty-five) days from the invoice generation date.
4. Payment Deadline & Legal Action
If payment is not received within 45 days from invoice date:
- Theme Seva reserves the right to suspend access to delivered services
- Source code, hosting access, or related services may be temporarily restricted
- Legal recovery proceedings may be initiated under applicable Indian laws
- Additional late fees or recovery charges may apply where legally permissible
Failure to make payment within the stipulated period shall be considered a breach of contract.
5. Client Responsibilities
Clients agree to:
- Provide accurate requirements
- Provide timely approvals
- Avoid unlawful usage of delivered solutions
- Respect intellectual property rights
6. Intellectual Property
- Ownership transfer occurs only after full payment is received
- Until payment completion, all rights remain with Theme Seva
- Theme Seva may showcase completed projects in portfolio unless otherwise agreed in writing
7. Confidentiality
Theme Seva maintains strict confidentiality of client data, credentials, and proprietary information.
8. Limitation of Liability
Theme Seva shall not be liable for:
- Indirect or consequential damages
- Business losses due to third-party service failures
- Hosting provider downtime
- Client misuse or modification of delivered solutions
9. Third-Party Tools
Projects may involve third-party services (hosting, APIs, payment gateways). Theme Seva is not responsible for their independent policies or downtime.
10. Termination
Projects may be terminated due to:
- Mutual agreement
- Contract breach
- Non-payment beyond 45 days
Completed work until termination shall remain billable.
11. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of India.
